Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Store," "you," or "your") and TheForge, LLC ("Company," "we," "us," or "our"), governing your access to and use of the TCGKungfu platform at tcgkungfu.com and all associated subdomains, APIs, and services (the "Service").

By creating an account, subscribing to a plan, or otherwise accessing the Service, you agree to these Terms. If you do not agree, do not use the Service.

You represent that you have the legal authority to enter into this agreement on behalf of your business.

2. Description of Service

TCGKungfu is a multi-tenant SaaS platform for trading card game retailers providing:

• Self-service kiosk for customer-facing card search and pricing
• Inventory management and tracking
• Visual pricing engine with customizable rules
• Trade-in management tools
• Event scheduling and management
• Customer loyalty and rewards programs
• Staff account management with PIN-based authentication
• Business reporting and analytics

Each store receives a dedicated subdomain (e.g., yourstore.tcgkungfu.com).

3. Subscription Plans and Billing

3.1 Plans

• Starter — Free, limited features
• Standard — Paid monthly
• Pro — Paid monthly
• Premium — Paid monthly
• Enterprise — Custom pricing

3.2 Billing

Current pricing for each tier is listed on our homepage. Paid subscriptions are billed monthly via Stripe. You authorize recurring charges to your payment method. All fees are in USD.

3.3 Cancellation

Cancel anytime through account settings or by contacting us. Your subscription remains active through the end of the current billing period. No prorated refunds for partial months.

3.4 Refund Policy

We offer a 30-day refund policy for new paid subscriptions or tier upgrades. Contact admin@theforge.llc within 30 days of the charge.

3.5 Price Changes

We may modify pricing with at least 30 days' written notice. You may cancel before the change takes effect.

4. Store Data Ownership

You retain all ownership rights to your Store Data including inventory records, pricing rules, customer loyalty data, trade-in records, event information, staff accounts, and reports.

We do not claim ownership of your data. You grant us a limited license to host and process it solely to provide the Service. We will not sell or share your data except as described in our Privacy Policy.

5. Card Pricing and Third-Party Data

Card pricing data is sourced from third-party providers including Scryfall and is provided "as is" for informational purposes.

We make no warranty regarding the accuracy, completeness, or timeliness of pricing data. You are solely responsible for verifying prices before making business decisions.

6. Trade-In Transactions

TCGKungfu is not a party to any trade-in transaction. All transactions are between you and your customers. You are solely responsible for terms, pricing, and execution. We are not liable for any disputes arising from trade-in transactions.

7. Multi-Tenant Environment and Subdomains

Store data is logically isolated. You may only access your own store's data. Attempting to access another store's data is a violation of these Terms.

Subdomain names are first-come, first-served. We reserve the right to reclaim subdomains for trademark infringement, offensive content, or inactivity.

8. Staff Accounts and Security

You are responsible for:

• Creating, managing, and deactivating staff accounts
• Ensuring PINs are secure and not shared
• Assigning appropriate permission levels
• Revoking access for former employees promptly
• All activity under your store's accounts

Notify us immediately at admin@theforge.llc if you suspect unauthorized access.

9. Acceptable Use

You agree not to:

• Violate any applicable law or regulation
• Scrape or use automated tools to extract data without permission
• Attempt unauthorized access to the Service or other accounts
• Interfere with or disrupt the Service
• Transmit malware or malicious code
• Reverse engineer or decompile the Service
• Resell or redistribute access without authorization
• Use the Service for purposes other than TCG retail management
• Upload fraudulent, defamatory, or objectionable content

Violations may result in immediate account suspension or termination.

10. Service Availability

We strive for high availability but do not guarantee uninterrupted operation. No SLA is provided for the free Starter tier. Paid subscribers receive priority support and our commitment to resolve disruptions promptly.

11. Intellectual Property

11.1 Our IP

The TCGKungfu platform, including source code, design, branding, and documentation, is the exclusive property of TheForge, LLC.

11.2 Your Content

You retain ownership of content you create. You grant us a non-exclusive license to use it solely to provide the Service.

11.3 Third-Party IP

"Magic: The Gathering" is a trademark of Wizards of the Coast LLC. TCGKungfu is not affiliated with or endorsed by Wizards of the Coast.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEFORGE, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

13. Indemnification

You agree to indemnify and hold harmless TheForge, LLC from claims arising from your use of the Service, violation of these Terms, trade-in transactions, disputes with customers or staff, and content you upload.

14. Termination

14.1 By You

Cancel anytime through account settings. Access continues through the end of the billing period.

14.2 By Us

We may suspend or terminate for violation of Terms, non-payment, or harmful conduct.

14.3 Data Export

You have 30 days after termination to export your data. After that, we permanently delete it.

15. Governing Law

These Terms are governed by the laws of the State of Nevada, USA. Disputes shall first be attempted through good-faith negotiation. If unresolved within 30 days, either party may pursue resolution through binding arbitration or Nevada courts.

Claims must be filed within one year of arising or are permanently barred.

16. General Provisions

Entire Agreement: These Terms plus our Privacy Policy constitute the entire agreement.

Severability: Invalid provisions are modified to minimum extent necessary.

Waiver: Failure to enforce any provision is not a waiver.

Assignment: You may not assign without consent. We may assign freely.

Modifications: Material changes require 30 days' notice via email.
